Party#

PowaHub is operated by CertainData Ltd, a company registered in England & Wales under company number 17354647 (official name: CERTAIN DATA LTD), whose registered office is at Venture House, 2 Arlington Square, Downshire Way, Bracknell, Berkshire, RG12 1WA. In these Terms, "PowaHub", "we", "us" and "our" refer to the PowaHub platform operated by CertainData Ltd.

By using PowaHub you agree to these Terms. These Terms apply to business users of PowaHub. If you use PowaHub on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

1. Service#

PowaHub provides a platform through which users may discover, access, publish and purchase access to data sources and services for use by AI agents and automated workloads. We may add, remove, modify or discontinue features, sources or functionality from time to time. Availability of any particular data source, provider or feature is not guaranteed.

2. Accounts#

You must be at least 18 years old and have authority to enter into these Terms on behalf of yourself or the organisation you represent. You must provide accurate and complete registration information and keep your credentials secure. You are responsible for activity conducted through your account, except to the extent caused by our breach of these Terms or applicable law.

3. Acceptable use#

Use of PowaHub is subject to our Acceptable Use Policy.

4. Fees and settlement#

Sellers set the per-call price they wish to receive. PowaHub adds the applicable platform fee on top of the seller's listed price, and the buyer pays the total amount shown before the transaction. Sellers receive 100% of their listed price in USDC. Applicable platform fees, transaction fees, subscription charges and other commercial terms are set out in PowaHub's current pricing and, where applicable, the Fee Schedule (Schedule B).

We may change pricing on reasonable notice. Changes will not apply retrospectively to completed transactions.

5. Provider obligations#

Providers must have all rights, licences and permissions required to make their listed data or services available through PowaHub. Providers must accurately describe the quality, freshness, coverage and licensing of their listed data and must comply with the applicable Seller Agreement, any applicable Premium Addendum and schedules, and the Acceptable Use Policy.

6. Buyer obligations#

Buyers are responsible for ensuring that their use of purchased data complies with applicable law, contractual restrictions and the licence applicable to the relevant source. Access through PowaHub does not grant ownership of the underlying data or waive third-party licence restrictions. Buyers must not redistribute paid responses outside their organisation except where the applicable source licence expressly allows it. Transaction and receipt records may be retained for audit, security, dispute-resolution and legal or regulatory purposes.

7. Disclaimers and limits#

Data and services made available through PowaHub may originate from independent third-party providers and are provided on an as-is and as-available basis. We do not warrant that any data source will be complete, error-free, continuously available or suitable for a particular regulatory, compliance or business decision.

Nothing in these Terms excludes or limits liability where it cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to the above, we are not liable for indirect or consequential loss, loss of profits, loss of revenue, loss of business, loss of anticipated savings, or loss arising from reliance on third-party data.

Subject to the above, our aggregate liability arising out of or relating to the service will not exceed the total fees paid by you to us during the 12 months immediately preceding the event giving rise to the claim.

8. Suspension and termination#

We may suspend or terminate access where reasonably necessary because of a breach of these Terms or the Acceptable Use Policy, a security risk, suspected fraud or unlawful activity, non-payment, or where required by law. You may stop using the service at any time, subject to any continuing obligations under an applicable seller, buyer or other contractual agreement.

9. Changes to these Terms#

We may update these Terms from time to time. Material changes will be posted on this page and, where reasonably practicable, notified to registered users before they take effect. Continued use of PowaHub after an updated version takes effect constitutes acceptance of the updated Terms.

10. Governing law#

These Terms are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction over disputes arising out of or relating to these Terms, unless applicable law requires otherwise.
