Premium Addendum

In brief — read before you sign. This is a plain-language guide to the key points. The full text below is what governs.

  • The Premium Addendum is additional to the Standard Seller Agreement, which continues to apply in full. Where a Premium term conflicts with a Standard term for a Premium listing, this Addendum governs for that listing.
  • Premium is by application. You must pass PowaHub's provider due diligence and verification before a listing is granted Premium. That check covers legitimacy, authority, and data quality only — PowaHub does not screen you or your wallet for sanctions or AML.
  • You pay a subscription, billed annually in advance, and Premium listings carry the higher Premium buyer fee (added on top of your price; you still receive 100% of it). See Schedule B for figures.
  • In return, PowaHub verifies the source, monitors uptime, checks data quality, attaches provenance, features your listing in PowaAgent, keeps extended transaction history, and gives priority support — with each commitment offered once it is live.
  • You must keep your source available, maintain data quality and provenance, keep your rights current, and cooperate with checks. PowaHub may suspend, downgrade to Standard, or revoke Premium for non-payment or breach.

These are the additional terms a seller accepts when upgrading to Premium, on top of the Standard Seller Agreement. Specific figures (subscription price, service allowance) live in PowaHub's current pricing, not in this agreement, so the agreement stays evergreen.

Relationship to the Standard agreement#

  • This Premium Addendum is additional to, and incorporates, the Standard Seller Agreement. All Standard terms continue to apply.
  • It applies only to a seller who applies for and is granted Premium, and it takes effect when the seller accepts it at the point of upgrade.
  • Where a Premium term conflicts with a Standard term for a Premium listing, this Addendum governs for that listing.
  • A seller may hold both Standard and Premium listings. These Premium terms apply to their Premium listings.

1. Becoming Premium#

  • Premium is by application. The seller must pass PowaHub's provider due-diligence and verification (see the Provider Due-Diligence Checklist) before a listing is granted Premium. That due diligence is limited to seller legitimacy, authority, and data-quality verification.
  • No PowaHub sanctions or AML screening. PowaHub does not screen the seller, its principals, or its wallet for sanctions or AML. Financial-crime and wallet compliance are handled by the seller through Coinbase and the seller's chosen off-ramp provider. A sanctioned, blocked, or restricted wallet is the seller's to resolve with that provider, and CertainData Ltd trading as PowaHub is not responsible in any way, and has no obligation, to recover, unblock, or replace the seller's funds (Standard Agreement section 7).
  • PowaHub may decline or revoke Premium at its discretion, including on failed verification, breach, or the grounds in section 5.

2. Premium fees#

  • Subscription. The seller pays the Premium subscription fee agreed for their account, billed annually in advance. The fee, and the number of services the subscription covers, are set when the seller upgrades to Premium, and may be agreed on a case-by-case basis based on the seller's Premium application and expected usage. PowaHub's current subscription pricing is made available to the seller at upgrade.
  • Buyer fee. Premium listings use the Premium buyer-fee rate set out in PowaHub's current fee schedule, which is higher than Standard. The fee is added on top of the seller's price, and the seller still receives 100% of their listed price.
  • Non-payment. If the subscription is not paid, PowaHub may suspend Premium status or downgrade the listings to Standard.
  • Changes. PowaHub may vary its subscription and fee pricing. A change applies from the seller's next renewal, on notice, and the seller may cancel or revert to Standard rather than accept it.

3. What PowaHub provides on Premium#

Subject to the seller meeting its obligations in section 4, PowaHub will:

  • Verify the provider and the source before granting Premium, and keep a record of the review.
  • Monitor uptime of the Premium source on a schedule and show a recent uptime figure.
  • Check data quality at onboarding, and investigate quality issues buyers report.
  • Attach provenance (source, freshness, last updated, licence) to Premium responses.
  • Feature the Premium listing ahead of Standard within PowaAgent.
  • Retain transaction history in the portal for as long as the listing is on Premium, instead of the Standard 90-day window (Schedule D, Section 6).
  • Support the agentic.market presence beyond the initial submission every listing gets, and give advance notice of any removal for inactivity.
  • Provide priority support, responding within 24 hours of a request.

PowaHub commits to a Premium item only once it is live. Until then, that specific commitment is not offered.

4. The seller's Premium obligations#

To hold Premium, the seller must, on an ongoing basis:

  • Keep the source available and maintain reasonable uptime.
  • Maintain data quality and accuracy, and honour the freshness they declare (for example, a source declared "daily" is updated daily).
  • Provide accurate provenance information. The seller must give accurate information for every provenance data point PowaHub requires (for example source, freshness, last updated, licence, and underlying source) and keep it current. PowaHub may change or add to the required provenance data points from time to time, and the seller must supply the updated information.
  • Keep their rights current, maintaining the licence and authorisation to resell the data.
  • Keep their wallet and payout compliance current with Coinbase and their chosen off-ramp provider, and resolve any sanction, block, or restriction on their wallet directly with that provider.
  • Cooperate with PowaHub's verification, monitoring, and quality checks, including keeping a working health or test endpoint.
  • Resolve issues PowaHub raises, including issues buyers report about the listing, within a reasonable time.

5. Premium suspension, downgrade, and revocation#

PowaHub may suspend, downgrade to Standard, or revoke Premium where the seller:

  • Fails to pay the subscription.
  • Falls below the agreed uptime or data-quality standards.
  • Has buyers report bad data or issues with the listing that the seller does not resolve within a reasonable time.
  • Breaches this Addendum or the Standard Agreement.
  • Loses the right to resell the data, or on an authority request.

A downgraded listing continues as Standard unless it is otherwise suspended. On downgrade, Premium benefits stop, including the extended portal transaction history, which reverts to the Standard 90-day window (Schedule D, Section 6).

6. Term and cancellation#

  • Premium runs for an annual term, with the subscription paid annually in advance, and renews for further annual terms unless cancelled.
  • The subscription is an entry-level starting price that PowaHub may vary over time as the market develops. For higher-value or enterprise sellers, a different subscription may be agreed, which may be higher and reflects the scale of their use.
  • At renewal, the then-current or agreed subscription applies. PowaHub gives notice of any change, and the seller may cancel and revert to Standard instead of renewing.
