Seller Agreement (Standard) — PowaHub

In brief — read before you sign. This is a plain-language guide to the key points. The full text below is what governs.

PowaHub is a neutral intermediary. It lists your endpoint, handles payment and settlement, and relays the buyer's request — it is not a party to the sale of your data.

You set your price and receive 100% of it. PowaHub's fee is added on top and paid by the buyer; you are never charged to list. Settlement is in USDC on the Base network, per transaction by default.

You solely control your wallet and keys. PowaHub takes no custody and cannot move your funds. A sanctioned, blocked, or frozen wallet is yours to resolve directly with Coinbase and your chosen off-ramp provider.

You warrant you have the rights to list and resell your data, that it is lawful, and that you comply with applicable law (including sanctions, export control, anti-money-laundering, and data protection).

PowaHub does not verify Standard data quality and can suspend or de-list at its discretion, including on an authority request or credible complaint. You indemnify PowaHub for claims arising from your data.

Fees are set out in Schedule B; data licensing in Schedule C; service standards in Schedule D. Governing law is England and Wales.

This is the Standard Seller Agreement, accepted by every seller at sign-up. Premium sellers additionally accept the separate Premium Addendum at upgrade. Specific figures (fees, prices) live in the fee schedule and current pricing so this agreement stays evergreen.

1. Parties and effective date#

PowaHub: CertainData Ltd, registered in England and Wales under company number 17354647 (official name CERTAIN DATA LTD), registered office Venture House, 2 Arlington Square, Downshire Way, Bracknell, Berkshire, RG12 1WA, operating the PowaHub platform. Seller: the counterparty. The agreement takes effect when the seller accepts it at sign-up.

2. Definitions#

Seller, Listing, Endpoint, Buyer, Catalogue, PowaAgent (the partner buyer product operated by CertainData Ltd), CertainData supply-side (first-party data sources and third-party data acquired and resold by CertainData Ltd through PowaHub), agentic.market, Platform Fee, Settlement Wallet, Payout, Standard, Premium.

3. The service#

PowaHub provides a technical facilitation and distribution service: it lists the seller's endpoint, exposes it at a PowaHub URL, handles payment and settlement, and relays the buyer's request to the seller's endpoint. PowaHub is a neutral intermediary and is not a party to the sale of the data itself between the seller and the buyer. Listings are either Standard (this agreement) or Premium (this agreement plus the Premium Addendum).

4. Onboarding and listings#

Standard is self-serve: the seller creates an account and lists endpoints through the portal, with no application, and a listing goes live on save. Each listing is exposed at https://api.powahub.ai/{seller-id}/{short-name}, and buyers do not see the seller's underlying URL. After its first real payment, a listing is submitted to agentic.market for additional discovery. The seller may edit, pause, or remove listings at any time.

5. Listing obligations and warranties#

The seller represents and warrants, on an ongoing basis, that:

Rights and authorisation. They own or are fully licensed and authorised to list, resell, and distribute the data or service through PowaHub to programmatic buyers, per call, and doing so infringes no third-party rights.
Lawful. The data or service, and its sale, are lawful in every jurisdiction that applies to them, and are not stolen, misappropriated, or otherwise unlawful.
No infringement. The listing infringes no copyright, database right, trademark, trade secret, or other proprietary right.
Data protection. Where the data includes personal data, they have a lawful basis to sell and distribute it and comply with applicable data-protection law (including UK GDPR), and they do not list special-category or otherwise restricted data without a lawful basis.
Compliance with laws. They comply with all applicable laws, including sanctions, export control, and anti-money-laundering.
Accuracy is theirs. They are responsible for the accuracy, quality, and freshness of their data. On Standard, PowaHub makes no representation about the data.

The seller must not list or sell: data or services they are not authorised or licensed to resell; illegal data or services, or anything whose sale would cause PowaHub to breach any law; stolen or misappropriated data; personal or sensitive data without a lawful basis; or content that is infringing, harmful, or malicious.

6. Fees, payout, and settlement#

The seller sets the price they want to receive and receives 100% of it. PowaHub's fee is added on top and paid by the buyer, at the rate in the fee schedule (Schedule B). The seller is never charged to list.
Settlement is in USDC on the Base network, PER_TRANSACTION by default. BATCHED settlement is available only by prior agreement and subject to CertainData Ltd's regulatory position.
Payout is to the seller's Settlement Wallet, an EOA provisioned via Coinbase CDP that the seller controls.
A 7-day cooldown applies to any new withdrawal destination address as a security control; established destinations are not delayed.
Cash-out of USDC to local currency, and any identity verification required to do it, are the seller's responsibility and depend on their country.

7. Wallet, keys, and sanctions#

Non-custody. The seller solely controls their wallet and keys. PowaHub does not hold the keys, has no custody, and cannot move the seller's funds. The seller is responsible for keeping their keys safe. PowaHub is not liable for lost or leaked keys or any loss that results.
Wallet compliance is the seller's. The seller is responsible for the compliance status of their payout wallet with Coinbase and their chosen off-ramp provider, warrants that neither they nor their wallet is sanctioned or on any denied-party list, and will tell PowaHub if that changes.
Sanctioned or blocked wallet. If the seller's wallet or address is sanctioned, blocked, frozen, or flagged (by Coinbase, the seller's chosen off-ramp provider, the network, or any authority), it is the seller's responsibility to resolve it directly with Coinbase and their chosen off-ramp provider (or the relevant authority). CertainData Ltd trading as PowaHub is not responsible in any way, is not liable, and has no obligation to recover, unblock, or replace the funds, and may suspend settlement or listings while a wallet is flagged.

8. Data, intellectual property, and licensing#

The seller retains ownership of their data. The seller grants PowaHub a non-exclusive, worldwide, revocable licence to relay the data and to sublicense it to buyers, on the terms in the Data Licensing and Usage Terms (Schedule C).
Buyers receive the downstream licence set out in Schedule C. By default, a buyer and their agent may use a paid response internally and may not redistribute it as a standalone data product, unless the seller's licence allows.
No AI training without permission. Neither PowaHub nor buyers will use the seller's paid responses to train AI models without the seller's express permission.
Where the seller requires attribution or additional licence terms, the seller specifies them and PowaHub surfaces them (for example through the response licence field), and buyers must observe them.

9. Service standards#

PowaHub will use reasonable efforts to keep the catalogue and payment proxy available and to provide a settlement receipt for each paid call, as set out in Schedule D. The platform is provided on a reasonable-efforts basis. PowaHub does not guarantee uninterrupted availability and is not liable for outages or actions of third parties it depends on, for example Coinbase or the Base network.

10. Compliance, sanctions, and data protection#

The seller complies with all applicable laws, including sanctions, export control, anti-money-laundering, intellectual property, and data protection.
Where a listing includes personal data, the parties' roles (controller or processor) and the handling of data-subject requests are as set out in Schedule C.
PowaHub does not operate sanctions or AML screening. Financial-crime and wallet compliance are handled by the seller through Coinbase and the seller's chosen off-ramp provider, and a sanctioned or restricted wallet is the seller's to resolve with that provider (Section 7). PowaHub may still disclose information and take action as required by law or a lawful request, and the seller will cooperate with any investigation.

11. Suspension, takedown, and termination#

PowaHub may, at its discretion and with or without notice, suspend, de-list, or stop distributing any listing, in whole or in part, including where an authority, court, or regulator requests or requires it; on a credible complaint; on suspected breach, illegality, or harm; or to comply with law or protect PowaHub, buyers, or third parties. It does so without liability to the seller and may retain or withhold related funds where required by law or pending an investigation.
Either party may terminate on notice under Section 14. On termination, listings are removed, live buyer licences wind down under Schedule C, and in-flight settlements complete or reverse under Section 6.

12. Warranties, disclaimers, liability, and indemnity#

Neutral intermediary. PowaHub does not create, own, endorse, or (on Standard) verify the seller's data, and it is not a party to the sale of the data itself.
No liability for seller data. To the fullest extent permitted by law, PowaHub is not liable for the seller's data or service, its legality, authorisation, accuracy, or fitness, or for the seller's compliance or non-compliance with any law or right.
Indemnity. The seller indemnifies and holds harmless CertainData Ltd (operating PowaHub) and its affiliates from any claim, loss, fine, penalty, or cost (including legal costs) arising from the seller's data or service, a breach of these warranties, unauthorised or unlawful data, an intellectual-property or privacy claim, or the seller's non-compliance.
Liability cap. CertainData Ltd's aggregate liability to the seller is capped at the fees PowaHub retained on the seller's listings in the prior 12 months, and is not liable for indirect or consequential loss.

13. Confidentiality#

Each party keeps the other's confidential information confidential and uses it only to perform this agreement, subject to legal disclosure requirements.

14. Changes to the agreement#

PowaHub may change this agreement or the fee schedule on notice. A change applies from the date stated in the notice. The seller may terminate before then rather than accept a material change.

15. Governing law and disputes#

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to them.
