Data Licensing and Usage Terms (Schedule C) — PowaHub
In brief — read before you sign. This is a plain-language guide to the key points. The full text below is what governs.
- You keep ownership of your data. You grant PowaHub a non-exclusive, revocable licence only to relay it and sublicense it to buyers so the catalogue and payment proxy can work.
- By default, a buyer may use a paid response for their own internal business purposes and may not redistribute, resell, or publish it as a standalone data product unless your terms allow. You can attach stricter or additional terms; the stricter term prevails.
- No AI training on your responses without your express permission, and responses may not be used as a substitute for a regulated sanctions, AML, or identity check.
- The data sale is between you and the buyer; PowaHub is a neutral intermediary. On Standard you enforce breaches directly; on Premium PowaHub also triages and helps resolve licence complaints.
- On a valid takedown, PowaHub acts forward-looking only — it removes the listing so nothing further is served. PowaHub does not and cannot notify prior buyers or recall data already delivered; the duty to stop using and delete a delivered response sits with the buyer (30-day deletion on termination or takedown, subject to legal retention).
This is Schedule C of the Seller Agreement (Standard). It applies to both tiers: Standard listings are bound by it directly, and Premium listings are bound through the Premium Addendum, which incorporates the Standard terms. The license response field is the Premium-only surface through which a seller's additional terms flow to the buyer.
Parties#
PowaHub: CertainData Ltd, registered in England and Wales under company number 17354647 (official name CERTAIN DATA LTD), registered office Venture House, 2 Arlington Square, Downshire Way, Bracknell, Berkshire, RG12 1WA, operating the PowaHub platform. Seller: the party granting the licence. Buyer: the party purchasing a response through the PowaHub catalogue and proxy.
1. Licence grant from Seller to PowaHub#
The seller grants PowaHub a non-exclusive, worldwide, revocable licence to receive, transmit, transiently cache, and relay the seller's data, and to sublicense it to buyers, solely to operate the catalogue and payment proxy and to deliver responses to buyers. The seller retains all ownership of and rights in their data. The licence is limited to running the service and does not permit PowaHub to use the data for any other purpose. The seller may revoke the licence by removing a listing or terminating the Seller Agreement, subject to the wind-down in Section 10.
2. Downstream licence to buyers (default terms)#
For each paid response, the seller (through PowaHub's sublicence) grants the buyer and the buyer's agent a non-exclusive, non-transferable licence to use that response for the buyer's own internal business purposes. The buyer may retain receipts and response snapshots for its own records and audit. Unless the seller's additional terms allow it, the buyer may not redistribute, resell, or publish a response as a standalone data product, and may not use responses in the ways set out in Section 6. Where a seller sets additional or stricter terms (Section 4), those prevail over these defaults.
3. Direct enforcement and PowaHub's role#
The data sale is between the seller and the buyer. PowaHub is a neutral intermediary and is not a party to it.
- Standard listings. The buyer and the seller may enforce a breach of this licence directly against each other. Each is a third-party beneficiary of the relevant terms for that purpose. PowaHub is not required to mediate a Standard licence dispute and is not liable for either party's breach. PowaHub may still suspend a listing or a buyer under its own agreements (Section 9, and the Seller Agreement).
- Premium listings. The same direct-enforcement right applies, and in addition PowaHub will get involved: because a Premium listing is verified, PowaHub will receive and triage licence complaints about it, support resolution between the parties, and may act under the Premium Addendum, including correcting, suspending, downgrading, or de-listing. Involvement in a Premium dispute does not make PowaHub a party to the underlying sale or liable for it.
4. Seller-specified additional terms#
A seller may attach additional or stricter licence terms to a listing. For Premium listings these are surfaced to the buyer through the license field on the response; for all listings they may be stated in the listing metadata. Buyers must observe them. Where they conflict with the defaults in this schedule, the stricter term applies. The seller is responsible for the accuracy and lawfulness of the terms it states, and warrants it has the right to impose them.
5. Attribution#
Where the seller requires attribution, the seller provides the attribution string, and PowaHub surfaces it in the listing metadata and, where applicable, in the response metadata. The buyer must preserve any required attribution in its internal use of the response and in any use the licence permits.
6. Prohibited uses (baseline, all buyers)#
Regardless of tier, a buyer may not: use a paid response to train, fine-tune, or evaluate an AI model without the seller's express permission; use a response as a substitute for a regulated sanctions, AML, or identity check (responses are reference data provided as-is, and the buyer remains responsible for its own regulated decisions); aggregate responses into a data product that competes with the seller's listing or the PowaHub catalogue; use a response for any unlawful purpose; or attempt to reverse-engineer or reconstruct the seller's underlying source from responses.
7. Retention and deletion#
A buyer may retain responses for its internal records and audit for as long as it reasonably needs them for that purpose, unless the seller's additional terms set a shorter period. On termination of the relevant licence, or on a takedown or correction under Section 9, the buyer must stop using the affected responses and delete them within 30 days, except where law requires the buyer to retain them, in which case retention is limited to that legal purpose. This obligation applies to the buyer whether or not the buyer receives any notice from PowaHub, since PowaHub does not undertake to notify buyers (Section 9).
8. Data-subject rights (personal data)#
Where a response contains personal data, the seller is the controller of the source data, the buyer is the controller of its own use of the response, and PowaHub acts as a conduit and processor that relays the data. Each party is responsible for handling data-subject requests relating to data it controls. PowaHub relays data and does not retain response content, and it cannot identify or reach downstream buyers (see Section 9), so it does not undertake to cascade an erasure request to buyers; each buyer remains responsible for personal data it controls. The parties comply with UK GDPR and other applicable data-protection law.
9. Takedown and correction#
- Seller obligation. The seller must promptly tell PowaHub of any licence change, data correction, or required takedown affecting a listing.
- PowaHub obligation. On receiving a valid takedown notice or credible complaint (from an authority, a rights-holder, the seller, or a buyer), PowaHub will act on it first by promptly suspending or removing the affected listing or response, and will then raise it with the seller for resolution. PowaHub does not need the seller's prior agreement to act on a valid notice.
- No recall or buyer notification. A catalogue listing can be purchased by any x402-compatible client, including autonomous agents that hold no PowaHub account and are identified only by a wallet address. In many cases the buyer is outside PowaHub's control and has no contact channel PowaHub can reach, and PowaHub does not store the content of responses. PowaHub therefore does not and cannot undertake to notify prior buyers of a takedown or correction, and cannot recall, retrieve, or delete responses already delivered, or ensure that a buyer does so. PowaHub's action on a takedown is forward-looking only: it suspends or removes the listing so that no further responses are served. Responsibility for ceasing use of and deleting a delivered response rests entirely with the buyer under Section 7 and the buyer's own licence terms.
- Reinstatement. A listing suspended on a takedown may be reinstated once the underlying issue is resolved to PowaHub's reasonable satisfaction.
10. Breach, remedies, and termination effects#
- Buyer breach. The seller may enforce directly against the buyer (Standard) or through PowaHub (Premium). PowaHub may suspend or terminate the buyer under its agreements.
- Seller breach. The buyer may enforce directly against the seller. PowaHub may suspend, correct, or de-list under Section 9 and the Seller Agreement.
- Termination effects. On termination of the Seller Agreement or removal of a listing, the seller's data stops being relayed. Licences for responses already delivered continue only for a short wind-down period, after which they terminate and buyers must delete under Section 7. PowaHub is not required to recall or delete, or to procure the deletion of, data already held by a buyer; that duty sits with the buyer.
